Why Contract Clauses Matter

As AI becomes integral to freelance work, your contracts need to evolve. Clear clauses protect both you and your clients, setting expectations and allocating responsibilities.

Essential AI Clauses

1. AI Disclosure Clause

Purpose: Informs clients that AI may be used.

"The Contractor may use AI-assisted tools in the performance of services under this agreement. Such tools may include, but are not limited to, writing assistants, code generators, design tools, and research aids. All AI-generated content will be reviewed, verified, and refined by the Contractor before delivery."

2. Quality Assurance Clause

Purpose: Commits to human oversight of AI outputs.

"The Contractor maintains responsibility for the quality and accuracy of all deliverables. AI-generated content undergoes human review and editing to ensure it meets professional standards and project requirements. The Contractor does not deliver raw AI output without review."

3. Data Protection Clause

Purpose: Addresses data handling with AI tools.

"When using AI tools, the Contractor will: (a) minimize personal data shared with AI services; (b) use AI providers with appropriate security certifications; (c) not use client data to train AI models without explicit consent; (d) comply with applicable data protection laws including UK GDPR."

4. Intellectual Property Clause

Purpose: Clarifies ownership of AI-assisted work.

"Upon full payment, the Client receives full ownership of all deliverables, including those created with AI assistance. The Contractor retains no rights to AI-generated content created specifically for the Client. The Contractor may use general knowledge and non-confidential techniques in future work."

5. Liability Limitation Clause

Purpose: Allocates risk for AI-related issues.

"The Contractor's liability for errors in AI-assisted work is limited to correction of errors or refund of fees paid. The Contractor is not liable for inherent limitations of AI technology, including potential inaccuracies that persist despite reasonable review."

6. AI-Free Option Clause (Optional)

Purpose: Offers clients choice.

"Upon request, the Contractor can provide services without AI assistance. AI-free services may require additional time and may be priced differently. Please indicate your preference at project commencement."

Implementation Tips

  1. Add to your standard template: Include AI clauses in all new contracts
  2. Discuss with existing clients: Update ongoing relationships with addenda
  3. Be specific about tools: Consider naming specific AI tools you use
  4. Review regularly: Update clauses as AI technology and regulations evolve
  5. Seek legal review: Have a solicitor review your clauses for your jurisdiction

Adapt these clauses to your specific practice and consult with a legal professional for advice tailored to your situation.
